Legal information
Terms of Service
These Terms govern access to Indexa’s hosted search, product indexing, analytics, widget, and account services.
Effective date: 22 August 2026
1. Agreement and provider
These Terms form an agreement between the person or organisation creating an account (“Customer”, “you”) and the operator of the INDEXA.digital service (“Indexa”, “we”). By creating an account or using the service, you confirm that you can enter this agreement and accept these Terms and the Privacy Policy.
If you use Indexa for an organisation, you confirm that you are authorised to bind it. Service and legal notices may be sent electronically to the registered email address.
2. The service
Indexa provides hosted product search, catalog ingestion, relevance settings, a storefront widget, APIs, analytics, reporting, and related support. Available functions, quotas, history retention, refresh frequency, and support level depend on the selected tariff.
We may improve or replace functions while preserving the service’s core purpose. Preview, beta, or third-party integrations may change or be withdrawn.
3. Accounts and security
You must provide accurate information, protect passwords and API keys, restrict account access to authorised users, and promptly report suspected compromise. You are responsible for activity performed through your account unless caused by Indexa’s breach of duty.
4. Customer data and privacy
You retain rights in catalog, configuration, and other content you submit. You grant Indexa a limited right to host, copy, transform, index, and transmit that content only to provide, secure, and improve the service.
For personal data relating to visitors of your website, you are the controller and Indexa acts on your instructions. You must have a lawful basis, publish an accurate notice, honour visitor rights, and configure cookies and analytics lawfully. Do not submit sensitive personal data through catalog feeds or search queries.
5. Acceptable use
- Do not use the service unlawfully, infringe rights, or upload malicious, deceptive, or prohibited content.
- Do not probe, overload, bypass limits, interfere with security, reverse engineer protected parts, or provide credentials to unauthorised third parties.
- Do not use Indexa to make decisions producing legal or similarly significant effects about individuals.
- Respect documented API limits and ensure that catalog sources and websites you connect are under your control or used with permission.
6. Tariffs, trials, and payment
Prices, billing periods, included quotas, and trial terms are shown before purchase. Paid access may require timely payment of applicable fees and taxes. Unless mandatory law provides otherwise, charges for an elapsed billing period are non-refundable.
If a subscription expires or limits are exceeded, we may restrict processing, move the account to an available tariff, or schedule product-index removal after the stated grace period. We will not deliberately hide applicable charges.
7. Subscriptions, renewals, and cancellation
Paid subscriptions renew automatically for the selected billing period unless automatic renewal is cancelled.
We may change tariff prices, discounts, billing periods, included features, quotas, limits, and trial terms. A change does not retroactively change the amount or duration of a paid period. A new price applies to purchases and renewals after the stated effective date; changes to included features, quotas, or limits may take effect from that date. Where required by law, we will give advance notice and any required cancellation or refund rights.
You can cancel automatic renewal from your account. Cancellation stops the next renewal but does not immediately terminate the current paid period and does not by itself create a refund for that period. Access remains available until the end of the paid period, subject to these Terms and mandatory law.
A switch to a lower-priced tariff during an active paid period is scheduled for the end of that period; an upgrade may take effect after payment. The exact tariff, period, amount, and effective date shown in the account or payment confirmation control.
8. Availability and support
We aim to operate Indexa reliably but do not promise uninterrupted or error-free availability unless a separate service-level agreement says so. Maintenance, internet failures, third-party outages, customer configuration, and force-majeure events may affect the service.
9. Intellectual property
Indexa and its licensors retain rights in the service, software, documentation, branding, and aggregated know-how. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. Feedback may be used without restriction or identification of its author.
10. Third-party services
Optional integrations such as Google authentication, Tag Manager, Analytics, email, or payment services are governed by their providers’ terms. Indexa is not responsible for third-party changes or failures outside our reasonable control.
11. Suspension and termination
You may stop using the service and request account deletion at any time. We may suspend access for material breach, security risk, unlawful activity, non-payment, or risk to other customers. When reasonably possible, we will give notice and an opportunity to remedy the issue.
After termination, service access ends and customer data is deleted according to the Privacy Policy and applicable retention duties. Sections intended by their nature to survive will remain effective.
12. Warranties and liability
To the extent allowed by law, the service is provided as available and implied warranties are excluded. Indexa is not liable for indirect, incidental, special, or consequential loss, lost profit, or loss caused by inaccurate feeds, customer configuration, or third-party systems.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or wilful misconduct. Mandatory consumer rights remain unaffected.
13. Law, disputes, and changes
These Terms are governed by the laws of Ukraine, without excluding mandatory protections that apply in your country. Before filing a claim, contact [email protected] so we can try to resolve the matter in good faith. Competent courts have jurisdiction where mandatory law does not provide otherwise.
We may update these Terms and the tariff catalogue for legal, security, service, or commercial reasons. Material changes will be announced in advance where practicable. Continued use after the effective date means acceptance; if you disagree, stop using the service and request export or deletion of your data.
